The Board of Directors has changed its membership since the end of the financial year. Pablo Isla has joined as Inditex’s new Chief Executive Officer, and José Luis Vázquez Mariño as an independent Board Member.

Commitments and initiatives

Independence

The majority of the Board Members are external, with half of the members being independent.

This is a higher proportion than that which would correspond according to the capital structure.

Shareholding

We encourage the ‘one share, one vote’ principle.

    The General Meeting of Shareholders of 16th July 2004 gave its approval to:
  • the elimination of minimum shareholding requirements in order to attend the General Meeting
  • the possibility of granting rights of representation and voting using electronic means and regular postal services
Transparency

The elimination of all statutory screening measures.

The Audit and Control Committee publishes a separate report on the activities carried out during the financial year.

We are included as part of part of three international indexes of Corporate Governance.

Demanding and Accuracy

The Chairman of the Board of Directors, the Deputy Chairman and the Financial Director certify the accounts that are submitted to the Board of Directors for preparation.
